Terms of Service

1. Agreement

By accessing or using Music Royalty Circle ("the Service", "we", "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Use License

We grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own royalty-education and royalty-management purposes. You may not:

• Resell, sublicense, or redistribute Service content or reports.
• Reverse-engineer, scrape, or attempt to derive source code.
• Use the Service to build a competing product.
• Share your login credentials with any other person.

3. User Content

You retain ownership of the checklist answers, catalog information, and other content you submit ("User Content"). You grant Music Royalty Circle a limited license to process User Content solely to provide the Service — including generating your Royalty Impact Audit Report and improving our tools in de-identified, aggregated form.

You represent that your User Content is accurate and that you have the right to submit it.

4. Payment Terms

• Royalty Impact Audit Report: $50 one-time payment. Grants permanent access to your report and 1 year of complimentary MRC Skool community access.
• Skool renewal: $50/year, billed annually, cancellable at any time from your account page.
• Taxes: Sales tax is calculated and collected at checkout where applicable.
• Refunds: Refund requests are considered on a case-by-case basis. Email support@musicroyaltycircle.com within 14 days of purchase.
• All payments are processed by Stripe.

5. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms, engage in fraud, or abuse the Service. On termination, your license to use the Service ends immediately. We may retain records as required by law.

6. Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied. Music Royalty Circle is an educational and organizational tool. We are not your publisher, label, PRO, publishing administrator, attorney, accountant, or agent, and we do not collect royalties on your behalf.

Royalty collection depends on your individual PRO membership, publishing administration setup, registration status, and accuracy of submitted data. Music Royalty Circle does not guarantee royalty recovery, income, or any specific financial outcome. For specific legal or financial advice, consult qualified professionals.

7. Limitation of Liability

To the maximum extent permitted by law, Music Royalty Circle and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or royalty income, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles.

9. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in the State of California, USA, except that either party may bring an individual action in small-claims court. You and Music Royalty Circle each waive the right to a jury trial and to participate in a class action.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last Updated" date. Continued use of the Service after changes constitutes acceptance.
